For the benefit of those who were not there when it happened, it all started when Mon Correa posted the following message last April 5:

In response to this, Aids Lecaros wrote the following letter dated 4/15/01:

My Fellow Lourdesians:

Its me, Adriano Lecaros, and thanks to LSQC I am now a lawyer.

After reading almost 40 emails from our lsqc yahoogroups, I am moved to try and give some food for serious thought to all of you out there. I wish to give back something to our Alma Mater — as I told everyone present at Egay Castillo's house, it's not enough that we attend our 20th homecoming next year. I feel that as the biggest batch ever produced — 280 ba tayo? — we must try to help LSQC.

I think Joseph Literal volunteered to ask from the principal's office what LSQC really needs. I hope Mon Correa or Leo Virtucio can also find out what we can give or donate to LSQC that is truly needed by the present students of our school. After all, we should try to help them turn out the way we have — we all turned out OK naman di ba? Wala naman yatang nagwala talaga sa Batch 82.

In this regard, I propose that Leo Virtucio (being voted as the OIC for membership in this core group) be empowered to start a foundation — the LSQC Batch 1982 foundation. I volunteer to help out in whatever way I can and I also pledge P1,000 to the bank account of this proposed foundation. I think we should open a PNB savings account so that our batchmates abroad can just deposit in the PNB oversesas branches. As Leo Virtucio is the most honest guy I know — I also propose that he be OIC for this endeavor.

I call upon Mon Correa, Jeff Pizarro, Egay Castillo, Edmund Lopez, AJ Fausto, Allen Isidro, Ben Racela, Joseph Literal, and the rest of you guys to respond favorably or not to my proposal. Please give some feedback and let us try to focus on giving something back to LSQC in time for next year when we will be the 20th anniversary celebrants.

Hopefully when we celebrate our 20th anniversary next year or even when it is our 25th Anniversary come February 2007, all the members of Batch 1982 will be present and will be remembered.

To make a long story short, this started a chain of letters. Here are some of them:

I second (or third) the motion initiated by Aids. Let's do give back to LSQC, and I'm sure there is something we can give. And while P1,000 per persons sounds easy, hope we can translate this into something which the school really needs. Unfortunately, we only have about a year to contact everybody, to get ideas, and to execute. So we better get started. (Leo V., I also do hope you can take the lead.)

Anyways, I have some contacts in the media (as a course of my work) and I can help out with the more traditional notices, i.e. via newspapers, to notify those whom we cannot reach electronically. Just do advise me.

Fellow Lourdesians batch 82,

Mr. Philip Albert P. Felix (St. James?) here announcing the SEC and BIR requirements for our foundation's registration.

I was able to secure a checklist of requirements for NON-STOCK CORPORATIONS registration to SEC just this afternoon through our (SMC) legal department. But looking at the requirements we already need to act on this ahead of our May 19 meeting so that we wouldn't waste our time.

I suggest that Leo call a special meeting, even for an initial core group, before May 19 (tentative) so that foundation set-up be tackled immediately. Leo may name the persons whom he thinks can be called upon to help on this matter. Volunteers will be greatly appreciated.

Also, I suggest we go ahead choosing our name ahead through the e-mail of time so that we can work this out as fast as we can. To all lawyers out there and practicing CPAs we need your comment on these steps as soon as possible so that we can move to approve whatever we have in the agenda for next regular meeting.

The special meeting will call for the appointments for the following:

1. Secretary (lawyer), a treasurer, who will be in charge of the contributions before the foundation is established and a bookkeeper.
2. A bank be nominated as a depository bank for this foundation.
3. An external auditor be nominated.
4. Most importantly, be able to establish our main objective and vision/mission statement for this foundation and its existence.
May I also suggest that a nominal secretary be appointed even through e-mail so that from here on our foundation endeavors be fully documented and accounted for from this point. He/She will also be in charge of the scheduling of our regular meetings.

For all those Managers & Marketing strategists, please come up with a marketing plan that you can suggest to enable the foundation generate income aside from our regular contribution. I hope they would also be able to present this to the body by May 19 (tentative) to mobilize and optimize our meager resources.

The SEC & BIR registration pre-requisites are as follows:

BASIC REQUIREMENTS

Step 1
Verification Slip (Re: Corporate Name) — we have to verify with SEC if we have selected a similar name already registered. We can only proceed to Step 2 after we have verified the uniquiness of our corporate name. Cost of verification is P50.00 (estimated). I don't know if we need to have our name affiliated with our school or whatever legal requirements may arise.

Step 2
If the pre-formatted SEC registration of Non-stock Corporation is availble we will proceed to purchase this document. This would cost us about P120.00

Step 3
We have to accomplish the form by completing the requirements itemized below. The following requirements are, I think, is available with the Express Lane services of SEC.

1. Articles of incorporation
2. By-Laws
3. Registration Data Sheet
4. Secretary's certificate for Non-Stock Corp.
5. List of contributors and amount contributed certified by the Treasurer (Mon Correa)
6. Filing Fee P 427.00

For a foundation a Bank Certificate of Deposit of at least P 50,000.00 is required. This will be documented through a bank book and a bank certificate. The amount may only be used after the SEC registration has been fully accomplished.

Step 4
BIR registration is needed. It is required to register a non-stock corporation in the BIR. For a Corporation the registration fee is P1,000.00. I believe for a non-stock corporation same amount will apply.

The initial suggestion of P 1,000.00 per batch member will not sound easy anymore unless we gather enough number of alumni/alumnae contributing for this cause and how effective our would-be managers and marketing managers implement income generating schemes.

Challenging isn't it. Nice to prove our worth to our alma matter, right?

I believe in our batch. I believe we can. ('di ba Leo?)

I would like to follow-up on Atty. Aids Lecaros' proposal that we immediately set up a bank account for our proposed foundation...

I went to the bank last week and asked for the requirements in setting up an account for our foundation. These are:

a) Articles of Incorporation
b) Certificate of Registration with the Securities and Exchange Commission
c) Corporate By-laws
d) Board Resolution duly notarized incorportaing the following:
   i) Authority to open bank account
   ii) Officers authorized to sign and the nature and extent of such authority.
a), b), and c) are being taken cared of by Mr. Philip Felix. d) will follow soon after we hold the general meeting on 19 May.
I have been appointed treasurer-in-trust (ad hoc, I believe) during the 26 April meeting of our foundations core group. Atty. Aids already contributed P1000 to our foundation. I hope this will be a good start for our fundraising activity.

To our batchmates in the Philippines, if you guys trust me, while we are fulfilling the requirements, you may deposit your donations / contributions to MY LandBank Savings Account # 0717-0195-04 (upon the suggestion of our corporate secretary, Atty. Lecaros). After depositing your contributions, kindly send me an email message containing the amount that you deposited and the LandBank branch where you made the deposit. I will immediately transfer our contributions to the LSQC82 Foundation account once we have completed the requirements.

For those who will not be able to deposit their contributions, kindly bring them during the May 19 general meeting.

To our batchmates in greener pastures, kindly wait for further instructions. You will definitely play a major part in the success of our foundation.

To Aids and Joseph:

Please be informed that our SEC form is very much available and I will give them to you on the 19th. I have reserved LSQC BATCH 82 FOUNDATION INC. for a month starting 05/16/2001 to 06/15/2001.

May I add to the details of our agenda on May 19 so that we may be able to save time. They are as follows:

TOP PRIORITY: Presentation of total actual local residents batchmates in order to establish critical mass for setting-up the capitalization of the foundation and class representation. This will determine the urgency of putting up the foundation.

VOTATION: Ratification of the organization of the LSQC 82 foundation

If ratified, appproval of the following:
  • Foundation's name, address and telephone number.
  • The Name, Nationality and residence of the incorporators (#15)
  • The number of trustees; their name, nationality and residence of the first trustees (class representatives will come to play in this item).
  • Initial Capitalization of the foundation contributed by the incorporators/directors.
  • Approval/votation for Treasurer position (Leo V.)
  • Elect the officers of the foundation.
  • Approval of Depository bank (PHP & Foreign)
  • Setting of the SEC registry timetable (considering no extensions for the reservation)
  • Secretary's certificate to open an account and establishing signing authorities on the approved depository bank.

May I also add the election of the spokesperson of the foundation so that the announcements and communications will be streamlined.

A resolution to be passed for the finality of schedules of the meetings be at least a week before the agreed date through our e-mail/webpage facility. This will help us fix our personal schedules.

(Roy, I would like to apologize sa aking previous report wherein I wrote that you were going to charge us a "friendly" interest rate.) To all our batchmates,

I would like to inform you that we are having a little snag with our registration of our Foundation because Security Regulatory Commission increased the minimum requirement capitalization to register the Foundation/association from P50K to P100K, this July. This was also the time we were able to put up the P50K, unfortunately. As of this time, we have already raised P53K (see details below). About P21K was extended by Roy Fernandez to register the Foundation with SEC. Registering the Foundation means we will establish our foundation's legal entity and be able to solicit legally/openly from willing business establishment. We are suddenly short of P47K to formalize the registration.

George and I has so far gathered that some of our batchmates, in preparation for our first project, headed by Jonas del Rosario and Benjamin Racela - Medical Mission, has already solicited medicines (Roy Fernandez), crutches (Aids Licaros) and sutures (circumcision equipment from Carlo de Castro). These are aside from additional financial contributions from Reuel Almario, Eric de Mesa, Jake Gonzales and Celedonio Pile and the others that has contributed financially, services and their valuable time. We believe many more of our batch mates would somehow be able to extend their talent and professional services and finances for our projects. Details of the contributions (see details below) and the medical mission will be presented on July 21, at Celedonio Pile's Padi's Point.

We believe however, that once our foundation is formally registered with SEC, we would be able to increase our resources for our future projects, such as gift giving in December and the much awaited grand reunion in February 2002. We also believe that fund raising projects will be presented on July 21 to establish other possible projects within this year.

In this regard, I am personally appealing to all who have formally sounded off their pledges to remit your wholehearted contribution as soon as possible for the SEC registration of our very own LSQC Batch 82 Foundation and in time for the very first Medical Mission project of our batch.

Golf Tournament

The Batch Foundation will soon organize a golf tournament as part of our fund raising campaign. It will be open to all amateur golfers, preferably batchmates & friends. Details to follow. For inquiries, e-mail Alex Cruz at elijahcruz@pacific.net.ph.

Interested parties who are willing to help are encouraged to join the organizing committee. If you have other sports in mind (billiards, basketball, etc.), do tell us so we can look into it.

Below is the proposed purpose of the foundation. This is patterned with the purpose of the foundation of Ateneo de Naga which was already approved by the SEC. We need your comments by week end for purposes of registration with SEC by next week.

"To engage in fund raising and solicitation activities for the benefit of Lourdes School of Quezon City (LSQC) as an educational institution, LSQC alumnus/alumnae and students, faculty and staff;

to establish a LSQC Batch 82 Foundation, Inc. fund and to use the income thereof specially for the scholarship program for students, professional development fo the faculty and staff and to engage in worthwhile projects as the Board of Trustees may deem necessary."
